TERMS OF SERVICE

Phrases like "Us", "we", and "our" are references to Absidy Events & Styling

SERVICE AGREEMENT

The Service Provider shall provide the following services/products in accordance with the terms and conditions of this Agreement.

  1. Delivery

    Absidy Events & Styling agrees to provide the following parts of the services at the specific place set out within the invoice. Absidy Events & Styling shall provide the Services at the specific site (s) chosen by the client. We will use reasonable methods to deliver products to you within the timeframes specified within the invoice, however, such timeframes are only estimated and may be affected by various factors outside our control.

  1. Price

    As consideration for the provision of the Services made by Absidy Events & Styling, the price for the provision of the Services is as per the invoice quote.

  1. Fees

    The Client(s) agrees to pay the amount stated in the invoice to the Service Provider with the following terms:

    (a) The CLIENT shall make a non-refundable retainer of 15% to Absidy events to perform the services specified in the invoice. Upon your signature, Absidy Events will reserve the date and time of event.

    (b) Remaining balance is due 30 days prior to the event date

    (c) Any late bookings made 14days prior to event date will incur an express service surcharge of 5%

  1. Cleaning

    Facilities that require cleaning after the use of space is up to the client(s) to organize. Absidy Events & Styling is not responsible for the clean-up of hired Event spaces. Additional charges will apply if Absidy Events & Styling is organizing a cleaning service for the day. Please let us know in advance before signing any contract. The client will be solely responsible for any additional fees charged by provider of hired spaces because of extended hours and general up keeping of event space. At the end of every function, Absidy Events & Styling will only be entitled to remove their equipment from premises.

  1. General Operations

    A. The Service Provider represents and warrants that:

    This Agreement shall commence on the date the signed confirmation of the accuracy of the Event Booking Contract is received by Absidy Events & Styling and shall end either when Absidy Events & Styling has provided the Services, or the Client/signatory has been issued a final invoice fully paid by Client(s). Absidy Events & Styling will perform the Services with reasonable care and skill. The Services and the Materials provided by Absidy Events to the Client(s) under this Agreement will not infringe or violate any intellectual property rights or other right of any third party. The client will be solely liable for any losses or damage caused by the client or their guests.

    B. The client is responsible to provide a copy of insurance/liability of property/venue is required 14days prior to set date if requested by the Venue.

    C. If at any time Absidy Events & Styling or a supplier have engaged in is not able to provide the

    product/services as originally quoted, we will Endeavor to find a replacement of similar value/quality, or

    a refund will be made.

    D. We advise that instructions and guidance given to Client(s) should be followed at all-times unless

    otherwise. Absidy Events & Styling will not be held liable for instructions not followed resulting to any

    damage or loss relating to property or guests.

  1. Cancellation and/or Change Policy
    A. As stated in the deposit and Payment Schedule section in the associated invoice, should Client cancel or otherwise breach this Agreement, Absidy Events and Styling will obtain the deposit, and Client will be charged for any costs incurred by and any services provided by Absidy Events and Styling up to the date of cancellation or breach.

    B. If there is a change to the Event Date, the Client must inform immediately. Absidy Events and Styling will only proceed with services if there is no other conflict on the calendar. In the event that Absidy Events and Styling cannot meet Client’s needs on the new Event Date, Client will be charged for any costs incurred by and any services performed by Absidy Events and Styling up to the date of notification of the change and will obtain the retainer.

    C. If Client cancels this Agreement or the event itself less than 30 days before the Event Date, with the exception of the death of an immediate family member, there will be no refund of any kind.

    D - The rescheduled event must be within 6 months of the original session date (or a longer period as agreed by Absidy Events and Styling and Client in writing) and is subject to the availability of Absidy Events and Styling.

  2. Indemnification and Liability:
    A. In the event of a natural disaster, extreme inclement weather, Acts of God, extreme illness or injury that prevent Absidy Events and Styling from fulfilling the terms of this Agreement, Absidy Events and Styling will make every effort to secure a suitable replacement event planner.

    B. If a suitable replacement is not found, Client agrees that Absidy Events and Styling’s liability is limited to the return of all forms of payment made by Client except for the initial non-refundable deposit.

    C. Client agrees to indemnify and hold harmless Absidy Events and Styling from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, penalties, and expenses, including attorneys’ fees and expenses arising out of, or resulting from services provided by Absidy Events and Styling within the scope of these agreed-upon services, including any negligent acts or omissions by Absidy Events and Styling and its employees.

    D. Absidy Events and Styling is not liable for any injuries or damages to persons or property on the Event Date or other dates associated with the event. E. Should Client cancel or otherwise breach this Agreement, Client is responsible for payment of costs to cover any materials and/or charges incurred by Absidy Events and Styling and any services performed by Absidy Events and Styling up to the date of cancellation or breach.

    F. This Agreement must be signed by the financially responsible party. Invoices will be sent only to Client. Although someone else may elect to make a payment on Client’s behalf, Client is ultimately responsible for seeing that all invoices are paid in full and on time.

    G. Even if Client is not the ultimate recipient of the final product (i.e. Client is working on behalf of a company to plan the event) Client, as the signer of this contract, will have the final approval on design decisions. Absidy Events and Styling will only act on Client’s comments or requests. Even if someone else has made a payment on your behalf, they have no say in the final product.


    H. Absidy Events & Styling will not be liable for non‐completion of an event or for any delays arising

    because of strikes, riots or lockouts, adverse weather conditions, loss, damage, or cancellation due to

    fire, flood, or any other causes beyond our control.

    I. Absidy Events & Styling will offer a refund of 50 % of the full amount provided the Client(s) gives 28

    days’ notice in writing. No refund will be given for cancellations within 14 days of the event.

  3. Images and Copyright
    A. Any photos or images taken by Absidy Events and Styling of the event are the property of Absidy Events and Styling.

    B. Absidy Events and Styling owns all copyrights to photos taken and images created by Absidy Events and Styling and may use the photos and images in the reasonable course of its business, including but not limited to, use on media channels and Absidy Events and Styling’s website and for marketing purposes.

  4. Venue Rules
    A. Client agrees and understands that Absidy Events and Styling may be limited by the guidelines and restrictions of the Event Location, and Client agrees to accept the results that may occur from having to adhere to those guidelines and restrictions.

    B. Negotiation of the guidelines and restrictions with the Event Location site or venue or management of the site or venue is solely Client’s responsibility.

    C. Absidy Events and Styling will, however, offer technical recommendations to Client concerning the guidelines and restrictions.

    D. Client is responsible for notifying Absidy Events and Styling of any site and/or venue restrictions, guidelines, or rules.

  5. Vendor Relations
    A. Absidy Events and Styling is not responsible for hiring individual vendors for the event or any related events, including but not limited to caterers, florists, photographers, musical entertainment, etc.

    B. Client is responsible for hiring and contracting each individual vendor unless otherwise agreed to, in writing, by both Absidy Events and Styling and Client.

  1. Fresh blooms

    A. Wedding/event blooms generally change for each month. We understand that more times than not a wedding date is in place, and it can be overwhelming and often a little upsetting for brides-to-be to find out that their dream wedding flower isn’t going to be available.

    B. Sometimes imported wedding flowers are also available if local blooms are not in season but

    this will come at an increased cost and still doesn’t guarantee that you can access your must have

    wedding flower. To resolve this as best as we could, we will guide you and provide accurate information

    on seasonality and available wedding flowers for your day with images a month or 3 weeks before the

    event date.

    This applies to all events with fresh blooms.

  2. Confidentiality

    Any Personal information of Client(s) will not be disclosed to the public. Neither Party will use, copy,

    adapt, alter, or part with possession of any information of the other which is disclosed or otherwise

    comes into its possession under or in relation to this Agreement and which is of a confidential nature.

  3. Damage

    We will not be liable for non‐completion of an event or any delays arising from strikes, riots or

    lockouts, adverse weather conditions, loss, damage, or cancellation due to fire, flood, or any

    other causes beyond our control.

    Any damage or loss to our equipment or props will incur an invoice to repair or replace the item.

  4. Entire Agreement
    A. This Agreement constitutes the entire agreement between Absidy Events and Styling and Client and supersedes all prior written and oral agreements between Absidy Events and Styling and Client.

    B. If any portion of this Agreement is deemed to be void or unenforceable, the remaining provisions remain in full force.

  5. Amendment
    A. This Agreement and portions thereof may be amended, altered, supplemented, and modified only in writing and as an addendum to this Agreement.

    B. Both parties must agree in writing to any amendments, alterations, supplementations, or modifications by duly executing any addendum to this Agreement.
